Terms and Conditions.


  1. SCOPE OF SERVICES
    1.1. The Affiliate shall market, promote, and direct potential customers to the products and/or services (the "Services") of the Company using specific URLs provided by the Company.
    1.2. The Affiliate will use its best efforts to actively and effectively advertise, market and promote the Services as widely and aggressively as possible.

  1. COMMISSION
    2.1. The Company shall pay the Affiliate a commission based on the Net Revenue generated from new customers directed by the Affiliate's efforts. The "Net Revenue" shall be defined as: the 14 day fees paid by customers directed by the Affiliate, less any chargebacks (credit card refunds), credits given to customers, processing fees, and sales tax.
    2.2. The commission rate will be 15% of Net Revenue. Commission will not be paid on sales taxes, duties, or any other charges related to the sale of the Services.
    2.3. The commission will be paid within 14 days after the start of the campaign. The Affiliate shall receive a 14 day report detailing the Net Revenue and calculation of the commission.

  1. TERM AND TERMINATION
    3.1. This Agreement will begin on the Effective Date and will continue until terminated by either party upon 14 days written notice.
    3.2. Upon termination, Affiliate will be entitled to unpaid commissions, if any, earned by Affiliate on or prior to the date of termination.

  1. LIABILITY AND INDEMNITY
    4.1. Each Party will indemnify, defend and hold the other Party harmless, including costs and attorneys' fees, from any claim or action brought by a third party relating to the negligence, gross negligence, or intentional misconduct of the other Party.
    4.2. Neither Party shall be liable to the other for any special, indirect, incidental, punitive, or consequential damages arising from or related to this Agreement.

  1. DATA PRIVACY AND PROTECTION
    5.1. Both parties acknowledge and agree to comply with all applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR), in connection with the performance of this Agreement.
    5.2. The Affiliate agrees not to engage in any activities that would violate data protection laws or compromise the privacy and security of customer information obtained during the course of
    promoting the Company's Services.
    5.3. The Company shall be responsible for the protection and handling of any customer data collected through the Affiliate's marketing efforts. The Affiliate shall promptly notify the Company of any data breaches or unauthorized access to customer information.


  2. UTM-LINK AND TRACKING
    6.1. The Company will provide the Affiliate with unique UTM-links that will be used by the Affiliate to track the traffic and sales generated through their marketing efforts.
    6.2. The Affiliate agrees to use only the provided UTM-links and not to modify or alter them in any way. Any unauthorized changes to the UTM-links may result in the forfeiture of commissions.
    6.3. The Company will track and attribute sales to the Affiliate based on the usage of the provided UTM-links. The Affiliate acknowledges that accurate tracking is essential for commission calculations.


  3. PAYMENT DETAILS
    7.1. The Company will pay the Affiliate a commission of 15% on Net Revenue as defined in Section 2.1.
    7.2. Payments will be made after a 14 day period has passed since the start date of sharing the UTM-link, and will be sent to the Affiliate's designated payment method or bank account.
    7.3. In the event of any chargebacks, credits, or processing fees related to sales directed by the Affiliate, the corresponding amount will be deducted from the Affiliate's commission.


  4. MARKETING AND BRANDING
    8.1. The Affiliate agrees to represent the Company's brand in a positive and professional manner. All marketing materials, including but not limited to social media posts, blog content, and images, must align with the Company's brand guidelines.
    8.2. The Affiliate shall not engage in any false or misleading advertising that may harm the reputation of the Company.


  5. GOVERNING LAW
    9.1. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated.
    9.2. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the relevant arbitration authority.
